By accessing this site, browsing the public portal, subscribing to a plan or using the logged-in areas of VilaControl, you confirm that you have read and agree to these Terms and our Privacy Policy. If marketing materials conflict with these Terms, the version in effect at the time of your subscription prevails.
1. Scope
VilaControl is a cloud platform for professional kennel and breeding stock management (pedigree, reproduction, health, finance, inventory and documentation, depending on the plan), with integrated use by breeders, operational teams, veterinarians/clinics authorised by the account holder, and pet owners through profiles and permissions defined in the system and under applicable data protection law.
2. Definitions
For these Terms:
- Platform / Service: VilaControl software, web interfaces and related resources provided by the service provider.
- Subscriber / Account holder: the individual or legal entity that completes plan subscription on the portal and is legally and financially responsible for the active subscription.
- User: any authorised profile accessing the system with credentials (holder or invited sub-users, according to permissions).
- Plan and Subscription: the package contracted (e.g. monthly or annual) with modules and limits as shown on the plans page and at checkout.
- Subscription process: electronic acceptance combined with payment or trial period, as displayed at the time of purchase.
3. Account and registration
Standard portal flow ties account creation to plan selection: first access occurs when choosing a plan on Plans and pricing, followed by registration and confirmation (including any trial), unless otherwise agreed in writing with our commercial team.
The account holder is responsible for:
- Accurate, complete and up-to-date registration data;
- Confidentiality of passwords and access mechanisms;
- All activity on linked accounts and invitations they authorise;
- Accuracy of information about animals, pet owners, health records and business data, within their relationship with third parties and applicable law.
VilaControl may suspend or terminate access in case of Terms violation, fraud, material non-payment, legal order or risk to Platform or third-party security, subject to due process where applicable.
4. Plans, trial, payment and billing
4.1. Trial period
When offered at checkout, a trial period (e.g. up to 15 days) may provide access to the selected plan without initial charge, under conditions shown at checkout and order confirmation. After the trial, recurring billing may start automatically unless cancelled or declined in the interface before the free period ends.
4.2. Billing
Subscriptions are recurring (monthly, annual or other interval shown on the plan), with price and currency displayed at purchase. Payment is processed through payment gateways enabled at checkout. By submitting payment details, you acknowledge that processing is partly handled by the payment provider and agree to their applicable terms to the extent necessary to complete the transaction.
4.3. Payment infrastructure (Stripe and card statement descriptor)
Card payments and recurring subscription management currently use Stripe, Inc. services (APIs and hosted components per Stripe documentation). Stripe acts as payment infrastructure intermediary: sensitive card data is handled under PCI DSS-compatible flows (including tokenisation or protected fields); the Platform does not store full card numbers in plain text.
Recurring charges, retry attempts, payment method updates and transactional communications may follow Stripe and card network policies (issuer and brand rules).
On your credit card statement, VilaControl charges may appear under the merchant descriptor configured with the processor — currently MacroData (issuers may display uppercase or truncated text per network rules). This is the statement descriptor configured with Stripe; it does not replace receipts issued by the Platform or Stripe where applicable.
4.4. Price and plan changes
Changes to price, limits or modules may be communicated with reasonable notice. Legally required or materially significant changes will be notified by email and/or in the Platform.
4.5. Non-payment
Failure to pay may result in suspension or limited access until regularised, without prejudice to permitted contractual and legal remedies.
5. Cancellation and satisfaction guarantee
You may request renewal cancellation through panel or support channels where available. Paid features normally remain accessible until the end of the already paid period.
When advertised on the portal, a satisfaction guarantee may apply for a defined period (e.g. 15 days from first charge or as shown at checkout). Outside that scope, partial refunds for unused periods are not guaranteed, except where mandatory law requires otherwise.
6. Software licence and intellectual property
We grant the Subscriber and authorised Users a revocable, non-exclusive, non-transferable, limited licence to use the Service according to the subscribed plan. Copying, modifying, reverse engineering, extracting code, bypassing security or reselling access without authorisation is prohibited.
Platform brands, layout, code and proprietary content remain owned by the service provider or licensors. Data and content entered by the Subscriber remain their property or legal responsibility towards pet owners and third parties, under applicable law and the Privacy Policy.
7. Pet owners, veterinarians and data protection
Features involving pet owners or animal health professionals must be used in compliance with applicable data protection law, including:
- EEA, UK and Switzerland: the General Data Protection Regulation (GDPR) and UK GDPR, as applicable to your role (controller/processor);
- United States: applicable federal and state privacy laws, including the California Consumer Privacy Act (CCPA/CPRA) for California residents where applicable;
- Other regions: local privacy and veterinary/professional rules that apply to your operation.
Auxiliary profiles (e.g. veterinarian or pet owner) are subject to configured permissions and these Terms to the extent of their access. Details on personal data, rights and contacts are in the Privacy Policy.
8. Availability, support and service changes
We strive to keep the Platform available continuously, subject to scheduled maintenance, updates, infrastructure limits or force majeure. No absolute uptime or error-free operation is guaranteed; support is provided through published channels during commercially reasonable hours.
The Service may evolve (new features, tool replacements). Material changes affecting existing subscriptions will be communicated in proportion to their impact.
9. Limitation of liability
The Service is a management support tool. To the maximum extent permitted by law:
- We are not liable for breeding, clinical, business or tax decisions based solely on system information;
- We do not guarantee specific economic or zootechnical outcomes;
- Where permitted, we exclude indirect damages, lost profits or data loss arising from exclusive user or third-party fault outside our reasonable control.
Mandatory consumer protections in your jurisdiction (including EU/EEA consumer rights for distance contracts) prevail over conflicting clauses to the extent required by law.
10. Term and changes
These Terms remain in effect while you use the Service or have pending obligations. We may update them; material changes will be communicated with reasonable notice. Continued use after the effective date may constitute acceptance, except where specific consent is legally required.
11. Governing law and disputes
The Service is operated from Brazil. Unless mandatory local law provides otherwise:
- EEA/UK consumers: you retain rights under applicable EU/UK consumer and data protection law; disputes may be brought before courts in your country of residence where EU/UK rules so require;
- Other users: Brazilian law governs the contractual relationship, with jurisdiction at the courts of the service provider's place of business, without prejudice to non-waivable consumer rights in your country.
EU consumers may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
